FaroukandCo provides AI automation, software engineering, cloud infrastructure, and related technology services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in individual project agreements or statements of work.

3. Project Engagement

When you engage our services:

• You agree to provide accurate and complete information about your project requirements
• You will cooperate with us and provide timely feedback and approvals
• You understand that project timelines may be affected by delays in receiving necessary information
• You agree to our payment terms as specified in the project agreement

4. Intellectual Property Rights

Client Deliverables: Upon full payment, you receive ownership of the custom code and deliverables created specifically for your project, as outlined in the project agreement.

Our Property: FaroukandCo retains ownership of:

• Proprietary frameworks, tools, and methodologies
• Pre-existing intellectual property
• General knowledge and experience gained
• The right to showcase the work in our portfolio (unless otherwise agreed)

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally, we require a deposit before commencing work, with the balance due upon completion or according to agreed milestones. Late payments may incur interest charges and may result in suspension of services.

6. Warranties and Guarantees

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific results or outcomes. Any specific guarantees (such as implementation timelines) will be explicitly stated in the project agreement.

7. Limitation of Liability

To the maximum extent permitted by law:

• FaroukandCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not responsible for losses resulting from your failure to implement our recommendations properly

8. Confidentiality

We respect the confidentiality of your business information and will not disclose it to third parties except as necessary to perform our services or as required by law. We may require a separate Non-Disclosure Agreement (NDA) for sensitive projects.

9. Termination

Either party may terminate a project agreement according to the terms specified in that agreement. Upon termination, you will pay for all work completed up to the termination date. We reserve the right to terminate services immediately if you breach these terms.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
